established owner managed business has generated an excellent revenue stream

A large successful IT recruitment business based in the North of England and Scotland is seeking a London based IT recruitment firm for partial acquisition or merger.
Contracts with major blue chip clients with business weighted towards banking.
Turnover for the year to December 2009 was c£26m with a healthy Balance Sheet and headroom within existing debt facilities. Growth is forecast for 2010.
This opportunity will appeal to Owner Managers seeking help to grow their business in the sector and make use of Saturn’s lucrative contracts.
General parameters for a deal structure are likely to be:
· Equity in Saturn issued to shareholders of the merger partner in recognition of the value of their business
· No cashing out for ongoing management
· Directors will have Board representation at Saturn
· The merger partner will participate in an anticipated exit in 3-5 years which is likely to be at a higher multiple than if that business sold independently, given the national coverage, blue chip contracts, more robust operations and bigger profits

Apollo currently has over 1,000 contractors using its services and has relationships with a number of recruitment agencies which generate a steady flow of new business.
The merger of Apollo will offer a recruitment business a diversified bolt-on to their core activity and an opportunity to give an immediate boost to the profits and value of the merged business by introducing contractors to Apollo’s service, keeping the profits in-house rather than paying them away to an external provider.
